This Amendment No. 5 (“Amendment No. 5”) to Schedule 13D relates to the Class A common stock, par value $0.01 per share (the “Class A Common Stock”), of Bumble Inc., a Delaware corporation (the “Issuer”), and amends and supplements the initial statement on Schedule 13D filed on February 26, 2021, as amended by Amendment No. 1 to the Schedule 13D filed on April 28, 2021, Amendment No. 2 to the Schedule 13D filed on June 25, 2021, Amendment No. 3 to the Schedule 13D filed on September 15, 2021 and Amendment No. 4 to the Schedule 13D filed on March 8, 2023 (as so amended, the “Schedule 13D”). Capitalized terms used but not defined in this Amendment No. 5 shall have the same meanings ascribed to them in the Schedule 13D.

Item 2.

Identity and Background

Item 2 of the Schedule 13D is hereby amended by incorporating herein by reference the information set forth on the updated Schedule I attached hereto.

Item 4.

Purpose of Transaction

Item 4 of the Schedule 13D is hereby amended and supplemented by the following:

On December 3, 2023, BX Buzz ML-1 Holdco L.P., BX Buzz ML-2 Holdco L.P., BX Buzz ML-3 Holdco L.P., BX Buzz ML-4 Holdco L.P., BX Buzz ML-5 Holdco L.P., BX Buzz ML-6 Holdco L.P. and BX Buzz ML-7 Holdco L.P. (collectively, the “Holdco Entities” or the “selling equityholders”), entered into a share and unit repurchase agreement (the “Share and Unit Repurchase Agreement”) with the Issuer and Buzz Holdings L.P. (“Bumble Holdings”) whereby (i) the Issuer agreed to repurchase 4,012,101 shares of its Class A Common Stock, beneficially owned by certain of the selling equityholders and (ii) Bumble Holdings agreed to repurchase from certain of the selling equityholders 3,192,146 limited partnership interests in Bumble Holdings (the “Common Units” and, together with the Class A Common Stock, the “Equity Interests”), which are exchangeable for shares of Class A Common Stock on a one-for-one basis, in a private transaction at a price per Equity Interest of $13.8807, for an aggregate purchase price of $100.0 million (the “December 2023 Transaction”). The December 2023 Transaction is expected to close by December 7, 2023.

The Share and Unit Repurchase Agreement also provides for certain lock-up restrictions on future sales by the Holdco Entities of shares of Class A Common Stock or securities convertible into or exchangeable for shares of Class A Common Stock (including, without limitation, the Common Units) until the Issuer makes public a press release announcing the Issuer’s earnings for the fourth quarter ended December 31, 2023.

The foregoing description of the Share and Unit Repurchase Agreement set forth in this Item 4 does not purport to be complete and is qualified in its entirety by reference to the full text of the Share and Unit Repurchase Agreement which has been filed as Exhibit I hereto and is incorporated herein by reference.

Item 5(a)-(b) of the Schedule 13D is hereby amended and restated as follows:

(a) and (b) Calculations of the percentage of the shares of Class A Common Stock beneficially owned assumes that there are 132,739,256 shares of Class A Common Stock outstanding following the closing of the December 2023 Transaction, based on 136,751,357 shares of Class A Common Stock outstanding as of October 31, 2023, as set forth in the Quarterly Report on Form 10-Q filed by the Issuer on November 8, 2023, less the 4,012,101 shares of Class A Common Stock repurchased in connection with the December 2023 Transaction, and takes into account any shares of Class A Common Stock underlying Common Units held by the Reporting Persons, as applicable.

The aggregate number and percentage of the Class A Common Stock beneficially owned by each Reporting Person and, for each Reporting Person, the number of shares as to which there is sole power to vote or to direct the vote, shared power to vote or to direct the vote, sole power to dispose or to direct the disposition, or shared power to dispose or to direct the disposition are set forth on rows 7 through 11 and row 13 of the cover pages of this Schedule 13D and are incorporated herein by reference.

Following the closing of the December 2023 Transaction, (i) BX Buzz ML-1 Holdco L.P. directly holds 1,420,752 shares of Class A Common Stock, (ii) BX Buzz ML-2 Holdco L.P. directly holds 19,548,793 shares of Class A Common Stock, (iii) BX Buzz ML-3 Holdco L.P. directly holds 3,173,580 shares of Class A Common Stock, (iv) BX Buzz ML-4 Holdco L.P. directly holds 8,468,432 shares of Class A Common Stock, (v) BX Buzz ML-5 Holdco L.P. directly holds 13,869 shares of Class A Common Stock, one share of Class B common stock of the Issuer (“Class B Common Stock”), and 25,675,461 Common Units, which are exchangeable for shares of Class A Common Stock on a one-for-one basis, (vi) BX Buzz ML-6 Holdco L.P. directly holds one share of Class B Common Stock and 231,702 Common Units, which are exchangeable for shares of Class A Common Stock on a one-for-one basis, and (vii) BX Buzz ML-7 Holdco L.P. directly holds one share of Class B Common Stock and 50,598 Common Units, which are exchangeable for shares of Class A Common Stock on a one-for-one basis.

In general, each share of Class A Common Stock entitles its holder to one vote on all matters on which Issuer stockholders are entitled to vote generally. Shares of Class B Common Stock have no economic rights but each share generally entitles each holder, without regard to the number of shares of Class B Common Stock held by such holder, to a number of votes that is equal to the aggregate number of Common Units held by such holder on all matters on which Issuer stockholders are entitled to vote generally. Holders of shares of Class B Common Stock vote together with holders of Class A Common Stock as a single class on all matters on which stockholders are entitled to vote generally, except as otherwise required by law. Notwithstanding the foregoing, unless they elect otherwise, each of the Blackstone Funds is entitled to outsized voting rights as follows. Until the High Vote Termination Date, each share of Class A Common Stock held by them entitles such person to ten votes and each such Blackstone Fund that holds Class B Common Stock is entitled, without regard to the number of shares of Class B Common Stock held by such Blackstone Fund, to a number of votes equal to 10 times the aggregate number of Common Units held by such Blackstone Fund. “High Vote Termination Date” means the earlier to occur of (i) seven years from the closing of the Issuer’s initial public offering and (ii) the date the parties to the Stockholders Agreement cease to own in the aggregate 7.5% of the outstanding shares of Class A Common Stock, assuming exchange of all Common Units.

Based in part on information provided by the Issuer, collectively, the Reporting Persons and Ms. Wolfe Herd and her affiliates may be deemed to beneficially own in the aggregate 82,134,779 shares of Class A Common Stock, representing 45.2% of the outstanding Class A Common Stock, based on Ms. Wolfe Herd’s right to acquire 716,031 Common Units within 60 days of December 4, 2023 upon conversion of vested Incentive Units of Buzz Holdings L.P. (assuming the $14.1717 volume-weighted average price of the Class A common stock on December 1, 2023).

Margin Loan Facility

On November 14, 2023, the Facility 1 Loan Agreement was amended to, among other things, appoint UBS AG London Branch as successor administrative agent and Lender, and the Facility 2 Loan Agreement was amended to, among other things, appoint UBS AG London Branch as successor administrative agent and Lender. The loans, as amended, mature on or about November 14, 2026. Upon the occurrence of certain events that are customary for this type of loan, the Lenders may exercise their rights to require the Borrowers to pre-pay the loan proceeds, post additional collateral, or foreclose on, and dispose of, the pledged shares of Class A Common Stock and pledged Common Units in accordance with the Loan Documents.

As of the date hereof, a total of 36,637,527 shares of Class A Common Stock and 29,149,907 Common Units are currently pledged. In connection with the closing of the December 2023 Transaction, the Reporting Persons expect to release as collateral an aggregate of 4,012,101 shares of Class A Common Stock and 3,192,146 Common Units.
