Explanatory Note:

This filing constitutes Amendment No. 7 (this “Amendment”) to the Schedule 13D filed by Wesley R. Edens (the “Reporting Person”) with the Securities and Exchange Commission (the “SEC”) on December 22, 2016 (the “Original Schedule 13D”), as amended by Amendment No. 1 filed on March 8, 2017, Amendment No. 2 filed on November 20, 2017, Amendment No. 3 filed on May 17, 2018, Amendment No. 4 filed on March 13, 2020, Amendment No. 5 filed on February 3, 2021 and Amendment No. 6 filed on March 18, 2021 (as so amended, the “Schedule 13D”) with respect to the common stock, par value $0.01 per share (the “Common Shares”), of Drive Shack Inc., a Maryland corporation (the “Issuer”). As previously disclosed, on March 12, 2021, the Reporting Person formed Edens Family Holdings LLC, a Delaware limited liability company (“Family LLC”), and, on March 16, 2021, contributed 1,884,986 Common Shares and certain other securities to it. The Reporting Person is filing this Amendment to disclose that, on June 11, 2021, the Reporting Person transferred all of the Family LLC common limited liability company interests to Lynn M. Edens for no consideration and Ms. Edens became the manager of Family LLC.

Unless set forth below, all previous Items of the Original Schedule 13D, as previously amended, are unchanged. Capitalized terms used in this Amendment and not otherwise defined shall have the same meanings ascribed to them in the Original Schedule 13D, as previously amended.

Item 3.

Source and Amount of Funds or Other Consideration

Item 3 to the Schedule 13D is hereby amended by the addition of the following text:

As previously disclosed, on March 12, 2021, the Reporting Person formed Family LLC and, on March 16, 2021, contributed 1,884,986 Common Shares and certain other securities to it in exchange for the entirety of its limited liability company interests. The Reporting Person is filing this Amendment to disclose that, on June 11, 2021, the Reporting Person transferred all of the Family LLC common limited liability company interests to Lynn M. Edens for no consideration. Ms. Edens is the manager of Family LLC and holds sole voting and investment power and beneficial ownership in respect of the Common Shares owned by Family LLC.

Interest in Securities of the Issuer

Item 5 to the Schedule 13D is hereby amended and restated as follows:

All percentages of Common Shares outstanding contained herein are based on 92,070,177 Common Shares outstanding as of May 1, 2021, as reported by the Issuer in its Form 10-Q filed with the Securities and Exchange Commission on May 10, 2021.

Of the Common Shares over which the Reporting Person has sole voting and dispositive power, (i) 3,502,368 Common Shares are held by him directly; (ii) 3,847,728 Common Shares are held by The Wesley R. Edens 2011 GRAT Family Trust, for which the Reporting Person serves as trustee; and (iii) 16,666 Common Shares are held by Chinook Charitable Trust, for which the Reporting Person serves as trustee. The Reporting Person therefore beneficially owns an aggregate of 7,366,762 Common Shares, representing 8.0% of the Common Shares.

Except for the transactions described in this Amendment, there have been no transactions in the Common Shares that were effected during the past 60 days by the Reporting Person.

Each of the above referenced trusts has the right to receive the dividends from or the proceeds of any sale of the Common Shares, as applicable, held in such trusts for the benefit of such trusts’ beneficiaries. The beneficiaries of the trusts are members of the Reporting Person’s family and charitable foundations.
