This Amendment No. 4 to Schedule 13D relates to the common stock (the “Common Stock”) of RH (the “Issuer”), and amends the initial statement on Schedule 13D filed by the undersigned on February 14, 2018 (as amended on December 12, 2019, October 21, 2020 and April 4, 2022), as specifically set forth herein.

ITEM 4. Purpose of Transaction.

Item 4 is hereby supplemented as follows:

As disclosed in the Issuer’s Quarterly Report on Form 10-Q for the fiscal quarter ended July 30, 2022, filed with the Securities and Exchange Commission on September 8, 2022, the aggregate number of shares of Common Stock outstanding as of September 2, 2022 was 23,725,732, which is a decrease from the 24,585,597 shares of Common Stock that were outstanding on April 4, 2022, the date that the undersigned filed Amendment No. 3 to Schedule 13D. As a result of such decrease in the aggregate number of outstanding shares of Common Stock, the aggregate percentage of outstanding shares of Common Stock that the undersigned may be deemed to beneficially own increased by an amount equal to approximately 0.67 percent of the outstanding shares of Common Stock. This Amendment No. 4 is being filed solely to reflect such increase.

ITEM 5. Interest in Securities of the Issuer.

Item 5 is hereby amended and restated in its entirety as follows:

(a) Mr. Friedman beneficially owns 5,680,158 shares of Common Stock of the Issuer, representing beneficial ownership of 21.49% of the shares of Common Stock outstanding based upon 23,725,732 shares of Common Stock currently outstanding, consisting of (i) 2,980,158 shares of Common Stock and (ii) 2,700,000 shares subject to options to purchase Common Stock exercisable within 60 days of September 9, 2022.

(b) Mr. Friedman has sole voting and dispositive power with respect to the outstanding shares of Common Stock that he owns.

(c) With respect to transactions in the Issuer’s Common Stock during the sixty (60) days preceding the date of this filing, no transactions in the shares of Common Stock of the Issuer have been effected by Mr. Friedman in the last sixty (60) days.
