As of December 31, 2020, the Reporting Persons may be deemed to beneficially own 3,154,650 of the Issuer’s shares of Common Stock, representing 19.6% of the total shares of Common Stock issued and outstanding.

The percentage of the shares of Common Stock held by the Reporting Persons is based on 16,105,670 shares of Common Stock issued and outstanding as of November 19, 2020 as reported in the Issuer’s Current Report on Form 8-K filed with the Securities and Exchange Commission on November 23, 2020.

BWA Holdings LLC is the record holder of the shares reported herein. Each of Rosemary L. Ripley and Peter S.H. Grubstein are managing members of BWA Holdings LLC. Consequently, each of them may be deemed the beneficial owner of the shares held by BWA Holdings LLC and shares voting and dispositive control over such securities.

JOINT FILING AGREEMENT

In accordance with Rule 13d-1(k) under the Securities Exchange Act of 1934, as amended, the undersigned agree to the joint filing on behalf of each of them of a Statement on Schedule 13G (including any and all amendments thereto) with respect to the shares of Common Stock, $0.0001 par value per share, of Better World Acquisition Corp., and further agree that this Joint Filing Agreement shall be included as an exhibit to such joint filings.
