	The beneficial ownership of the Reporting Person is comprised solely of 1,373,919 shares of Common Stock issuable upon the exercise of warrants to purchase shares of Common Stock that are beneficially owned by the Reporting Person (the "Warrants"). The Warrants held by the Reporting Person have an exercise price of $11.50 per share of Common Stock and are presently exercisable. The percentage above is based on (i) 16,065,257 shares of Common Stock deemed outstanding as of October 1, 2024, as reported by the Issuer in its prospectus that forms a part of its Registration Statement (No. 333-281452), which prospectus was filed on October 3, 2024, plus (ii) the Warrants.
