    Information with respect to the Reporting Person’s ownership of the Common Stock as of December 31, 2023, is incorporated by reference to items (5) - (9) and (11) of the cover page for the Reporting Person.
     
    Note: The Reporting Person’s beneficial ownership reported herein includes 563,387 shares of Common Stock the Reporting Person has the right to acquire upon conversion of convertible notes held directly the Reporting Person (the “Convertible Notes”). In accordance with Rule 13d-3(d)(1)(i) under the Act, the percentage of the Common Stock beneficially owned by the Reporting Person reported herein is calculated based on a total of 9,932,094 shares of Common Stock outstanding as of November 3, 2023, as reported in the Issuer’s quarterly report on Form 10-Q filed with the Securities and Exchange Commission on November 3, 2023, plus the 563,387 shares of Common Stock issuable to the Reporting Person upon conversion of the Convertible Notes.
