	The percentage of Shares reported to be beneficially owned by the Reporting Persons is based on 34,500,000 Shares outstanding as of November 23, 2022, as reported in the Issuer’s Form 10-Q/A for the quarterly period ending June 30, 2022 filed with the SEC on November 23, 2022.
