This Statement is filed on behalf of Orion Resource Partners (USA) LP (the “Reporting Person”). The Reporting Person serves as investment advisor to various investment vehicles that directly hold the Shares (as defined below) reported herein (collectively, the “Orion Funds”). In such capacity, the Reporting Person may be deemed to have voting and investment control over the Shares (as defined below) reported herein.

As of September 30, 2024, the Reporting Person may be deemed the beneficial owner of 42,000,000 Shares held directly by the Orion Funds.

As of September 30, 2024, the Reporting Person may be deemed the beneficial owner of approximately 9.8% of Shares outstanding. This percentage is based on 428,505,123 Shares outstanding as of August 7, 2024, as reported in Exhibit 99.2 to the Issuer's Form 6-K/A filed with the Securities and Exchange Commission on August 9, 2024.
