		The Reporting Persons were each the beneficial owner of the 2,423,581 shares of Common Stock held by Greenhouse through the accounts of certain private funds and managed accounts advised by Greenhouse.

		The Reporting Persons were each the beneficial owner of 5.1% of the shares of Common Stock, based on 47,424,542 shares of Common Stock outstanding as of October 25, 2021, as reported in the Issuer’s Form 10-Q filed with the Securities and Exchange Commission on November 3, 2021.
