On December 9, 2024, the Reporting Person purchased 3,046,223 shares of the Issuer’s Class A Ordinary Shares and 1,955,348 Pre-Funded Warrants in a registered direct offering. The total beneficial ownership reflected above includes 3,046,223 Class A Ordinary Shares and 125,000 of the Issuer’s Common Stock underlying Pre-Funded Warrants. Does not include 1,830,348 Class A Ordinary Shares underlying Pre-Funded Warrants, which are subject to a 9.99% beneficial ownership limitation.

Based on 31,753,532 shares of Class A Ordinary Shares outstanding based upon the Issuer’s Prospectus on Form 424b(5) filed with the Securities and Exchange Commission (“SEC”) on December 10, 2024. The percentage set forth on Row (11) of the cover page for the reporting person is 31,753,532 shares of Class A Ordinary Shares outstanding based upon the Issuer’s Prospectus on Form 424b(5) filed with the Securities and Exchange Commission (“SEC”) on December 10, 2024. The numbers in this Schedule 13G do not give effect to the Issuer’s Class B Ordinary Shares and Class C Ordinary Shares, which are not registered pursuant to Section 12 of the Securities Exchange Act of 1934.

David Feldman and Joel Arber are the Directors of L1 Capital Global Opportunities Master Fund, Ltd. As such, L1 Capital Global Opportunities Master Fund, Ltd., Mr. Feldman, and Mr. Arber may be deemed to beneficially own (as that term is defined in Rule 13d-3 under the Securities Exchange Act of 1934) the issuer’s securities described herein. To the extent Mr. Feldman and Mr. Arber are deemed to beneficially own such securities, Mr. Feldman and Mr. Arber disclaim beneficial ownership of these securities for all other purposes.
