The Reporting Person is the beneficial owner of 64,990,024 shares of Class A Common Stock, which consists of (i) 175,810 shares of Class A Common Stock held of record by the Reporting Person, (ii) 62,247,571 shares of Class A Common Stock underlying Common Units of MarketWise, LLC (“Common Units”) held of record by the Reporting Person, and (iii) 2,566,643 shares of Class A Common Stock underlying Common Units held by a limited liability company over which the Reporting Person claims beneficial ownership. The Common Units are exchangeable for shares of Class A Common Stock on a one-for-one basis at the option of the holder.

All shares of Class A Common Stock beneficially owned by the Reporting Person are subject to an irrevocable voting proxy in favor of MarketWise, Inc.
