Reflects 6,684,500 Class A ordinary shares of New Vista Acquisition Corp (the “Company”), par value $0.0001 per share (“Class A Ordinary Shares”), issuable upon conversion of 6,684,500 Class B ordinary shares of the Company, par value $0.0001 per share (“Class B Ordinary Shares”), held directly by New Vista Acquisition Sponsor LLC (the “Sponsor”). The Class B Ordinary Shares will automatically convert into Class A Ordinary Shares at the time of the Company’s initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment.

The Class B Ordinary Shares will automatically convert into Class A Ordinary Shares at the time of the Company’s initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment. Dennis A. Muilenburg, Kirsten Bartok Touw and Travis S. Nelson are the managing members of the Sponsor. As a result of the foregoing, each of Mr. Muilenburg, Ms. Bartok Touw and Mr. Nelson may be deemed to beneficially own the shares held by the Sponsor.
