Represents (i) 5,192,250 Class A ordinary shares (“Shares”) held by Aspex Master Fund and (ii) 1,504,999 Shares issuable upon the exercise of 1,166,666 redeemable warrants held by Aspex Master Fund on the basis that 1 redeemable warrant is exercisable into 1.29 Shares.

This percentage is calculated using 102,770,482 Shares as the denominator, which is equal to the sum of (i) 101,265,483 Shares outstanding as at May 24, 2022 as derived from the Issuer’s 20-F filing dated May 24, 2022 (the “20-F Filing”) and (ii) 1,504,999 Shares issuable upon the exercise of 1,166,666 redeemable warrants held by Aspex Master Fund and 6,697,249 Shares as the numerator, which is equal to the sum of 5,192,250 Shares and 1,504,999 Shares (Note: 9,713,864 Class B ordinary shares outstanding as at this dateas derived from the aforementioned 20-F Filing have been excluded from this calculation).
