(1)			Consists of (i) 59,895 shares of Class A Common Stock, (ii) 24,104 shares of Class A Common Stock subject to a restricted stock agreement that are scheduled to vest within 60 days of December 31, 2022 and (iii) 1,000,000 shares of Class B Common Stock held of record by Vladimir Shmunis TR UA March 11, 2022 Vladimir Shmunis 2022 Grantor Retained Annuity Trust.

The Class B Common Stock will convert automatically into Class A Common Stock on the date on which the number of outstanding shares of Class B Common Stock represents less than 10% of the aggregate combined number of outstanding shares of Class A Common Stock and Class B Common Stock. The rights of the holders of Class A Common Stock and Class B Common Stock are identical, except with respect to conversion rights (noted above) and voting rights. Each share of Class B Common Stock is entitled to ten votes per share, whereas each share of Class A Common Stock is entitled to one vote per share.

Pursuant to Rule 13d-3(d)(1), all shares of Class B Common Stock (which are convertible into shares of Class A Common Stock) held by each Reporting Person were deemed to be converted for the purposes of (i) determining the aggregate amount of Class A Common Stock owned by such Reporting Person and (ii) calculating the percentages of the Class A Common Stock owned by such Reporting Person. Consequently, all Class A Common Stock amounts and percentages are inclusive of the Class B Common Stock amounts and percentages set forth herein. The percentages of ownership set forth below are based on 85,460,837 shares of Class A Common Stock and 9,924,538 shares of Class B Common Stock outstanding as of December 31, 2022.

The shares beneficially owned by ELCA LLC consist of 1,385 shares held of record by ELCA LLC in addition to the shares held of record by ELCA I and certain shares held of record by each of ELCA II and ELCA III. ELCA LLC and ELCA I may be deemed to be directly or indirectly controlled jointly by Mr. Shmunis, the Issuer’s CEO and Chairman of the board of directors, and Mrs. Shmunis, Mr. Shmunis’ wife. Certain of the shares held by ELCA II and ELCA III may be deemed to be directly or indirectly controlled jointly by Mr. Shmunis and Mrs. Shmunis. The shares beneficially owned by SIPF consist of 81,668 shares held of record by SIPF, and SIPF may be deemed to be directly or indirectly controlled jointly by Mr. Shmunis and Mrs. Shmunis, as co-trustees. The shares beneficially owned by Trust consist of 1,274 shares held of record by Trust, and Trust may be deemed to be directly or indirectly controlled jointly by Mr. Shmunis and Mrs. Shmunis, as co-trustees. The shares beneficially owned by GST consist of 59,000 shares held of record by GST, and Mr. Shmunis and Mrs. Shmunis, as co-investment trustees, may be deemed to have dispositive power over these shares. As a result, and by virtue of the relationships described, Mr. Shmunis and Mrs. Shmunis may be deemed to share voting and dispositive power with respect to the shares held by each of ELCA LLC, ELCA I, SIPF and Trust and certain shares held of record by each of ELCA II and ELCA III, and may be deemed to share dispositive power with respect to the shares held by GST.

The shares for which Mr. Shmunis has sole voting and dispositive power consist of 59,895 shares of Class A Common Stock and 24,104 shares of Class A Common Stock underlying restricted stock units subject to a restricted stock agreement that are scheduled to vest within 60 days of December 31, 2022. Such shares are deemed outstanding pursuant to SEC Rule 13d-3(d)(1)(i). In addition, VST may be deemed to be directly or indirectly controlled by Mr. Shmunis, as trustee. As a result, and by virtue of the relationship described, Mr. Shmunis may be deemed to possess sole voting and dispositive power with respect to the 1,000,000 shares of Class B Common Stock held by VST.

SST may be deemed to be directly or indirectly controlled by Mrs. Shmunis, as trustee. As a result, and by virtue of the relationship described, Mrs. Shmunis may be deemed to possess sole voting and dispositive power with respect to the 1,000,000 shares of Class B Common Stock held by SST.
