(a)	Amount beneficially owned:

As of April 19, 2021, 683 Capital Partners, LP and 683 Maiden Fund LP beneficially owned 3,591,502 (not including 733,589 shares of Class A Common Stock issuable upon the exercise of warrants that are not exercisable within 60 days) and 106,134 shares of Class A Common Stock, respectively.

683 Capital Management, LLC, as the investment manager of each of 683 Capital Partners, LP and 683 Maiden Fund LP, may be deemed to have beneficially owned the 3,697,636 shares of Class A Common Stock beneficially owned by 683 Capital Partners, LP and 683 Maiden Fund LP.

Ari Zweiman, as the Managing Member of 683 Capital Management, LLC, may be deemed to have beneficially owned the 3,697,636 shares of Class A Common Stock beneficially owned by 683 Capital Management, LLC.

The following percentage is based on 60,000,000 shares of Class A Common Stock outstanding as of March 24, 2021, as disclosed in the Issuer’s Annual Report on Form 10-K filed with the Securities and Exchange Commission on March 24, 2021.

As of April 19, 2021, the Reporting Persons may be deemed to have beneficially owned approximately 6.2% of the outstanding Class A Common Stock.
