The ownership percentages reported are based on the 150,917,704 shares of Common Stock outstanding as of October 20, 2022, as reported in the Issuer’s Form 10-Q filed on October 26, 2022.

     

    Sessa Capital (Master), L.P. and Sessa Capital Special Opportunity Fund II, L.P. (collectively the “Funds”) directly beneficially own 547,057 and 271,660, respectively, shares of Common Stock.

     

    Sessa Capital GP, LLC is the general partner of the Funds and, as a result, may be deemed to beneficially own Common Stock owned by the Funds. Sessa Capital IM, L.P. is the investment manager of the Funds and, as a result, may be deemed to beneficially own Common Stock owned by the Funds. Sessa Capital IM GP, LLC is the general partner of Sessa Capital IM, L.P. and, as a result, may be deemed to beneficially own Common Stock beneficially owned by Sessa Capital IM, L.P.
