investment funds (the “Funds”). WAM GP is the sole general partner of Weiss Asset

Management. Andrew Weiss is the manager of WAM GP. Shares reported for WAM GP,

Andrew Weiss, and Weiss Asset Management include shares held by the Funds. The

Funds have the right to receive or the power to direct the receipt of dividends

from, or the proceeds from the sale of, the Common stock.

the extent of their respective pecuniary interest therein.
