Software Acquisition Holdings III LLC is controlled by a board of managers which consists of Jonathan S. Huberman, Mike Nikzad and Andrew K. Nikou. As a result, each may be deemed to share beneficial ownership of the securities held of record by Software Acquisition Holdings III LLC.
