Ownership

(a)

Amount beneficially owned:

As of July 24, 2025, Bigger Capital beneficially owned 7,110,764 Ordinary Shares. The amount does not include 570,505 Ordinary Shares issuable upon exercise of Pre-Funded Warrants, which were subject to a 9.99% beneficial ownership limitation. Bigger GP, as the general partner of Bigger Capital, may be deemed to beneficially own the Issuer's securities described herein. Mr. Bigger, as the managing member Bigger GP, the general partner of Bigger Capital, may be deemed to beneficially own the Issuer's securities described herein beneficially owned by Bigger Capital. The foregoing should not be construed in and of itself as an admission by any Reporting Person as to beneficial ownership of any Ordinary Shares owned by another Reporting Person or any other person. Each of Bigger GP and Mr. Bigger disclaims beneficial ownership of the Ordinary Shares beneficially owned by Bigger Capital. The filing of this statement shall not be construed as an admission that any such person or entity is the beneficial owner of any such securities.

The following percentages are based on 74,031,345 Ordinary Shares outstanding immediately after the offering (assuming the exercise of all the Pre-Funded Warrants) based upon the Issuer's Prospectus Supplement filed under Rule 424(b)(5) with the Securities and Exchange Commission on July 25, 2025 (including the 7,110,764 Ordinary Shares issued to Bigger Capital). As of July 24, 2025, each of Bigger Capital and Bigger GP may be deemed to beneficially own approximately 9.6% of the outstanding Ordinary Shares. As of July 24, 2025, Mr. Bigger may be deemed to beneficially own approximately 9.6% of the outstanding Ordinary Shares. Regarding Item 5 below, as of the close of business on July 25, 2025, the Reporting Persons sold all of their Ordinary Shares, including the 570,505 Ordinary Shares issuable upon exercise of Pre-Funded Warrants, and accordingly, the Reporting Persons are not the beneficial owners of at least 5.00% of the Issuer's Ordinary Shares.
