Item 8.01. Other Events.

As previously disclosed in a Current Report on Form 8-K filed with the Securities and Exchange Commission on January 21, 2021, SemiLEDs Corporation (the “Company”) received a notification letter from The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it did not meet the minimum of $2,500,000 in stockholders’ equity required by Nasdaq Listing Rule 5550(b)(1) (the “Minimum Equity Requirement”) for continued listing.

On June 23, 2021, the Company received a notice from Nasdaq stating that the Company is now in compliance with the Minimum Equity Requirement following 20 consecutive business days where the Company’s market value of listed securities was at least $35,000,000. Accordingly, Nasdaq considers this matter closed.
