Explanation of Responses:

1. On February 8, 2024, the reporting person was granted 27,000 restricted stock units, 33% of which vested on February 8, 2025 and 33% of which will vest each year thereafter. Restricted stock units convert into the Company's stock on a one-for-one basis.

2. 12.5% of the shares underlying the grant become exercisable 6 months after the date of grant and an additional 6.25% of the shares underlying the grant become exercisable on the first day of each three-month period thereafter.

3. Each restricted stock unit (RSU) represents a contingent right to receive one share of the Issuer's common stock. The RSUs will vest as to 33% of the total shares one year after the date of grant and 33% each year thereafter.
