On August 22, 2022, Dennis M. Woodside informed ServiceNow, Inc. (the “Company”) of his resignation from the Board of Directors (the “Board”), effective as of August 26, 2022. Mr. Woodside’s resignation was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Woodside’s resignation was due to his upcoming change in employment and the responsibilities and requirements of his new position. The Board expressed its appreciation for Mr. Woodside’s service to the Company and his invaluable contributions to the Board.
