Explanation of Responses:

1. The shares reported represent shares of Common Stock, par value $0.10 per share, of The Children's Place, Inc. (the "Company"), underlying performance shares granted under the Company's 2011 Equity Incentive Plan (the "Plan") on August 2, 2021. As a result of the occurrence of the Change in Control at the Company on February 13, 2024, and in accordance with the terms and conditions of the Plan, all performance shares granted but unvested had performance criteria eliminated and the shares reported vested and were delivered on April 15, 2024.

2. These shares were withheld to pay tax liabilities incident to the vesting of performance-based restricted stock units on April 15, 2024.

3. Includes dividend equivalent shares that have accrued thereon.
