Explanation of Responses:

1. Represents a restricted stock unit ("RSU") award granted under the issuer's 2023 Omnibus Incentive Compensation Plan. Each RSU represents the contingent right to receive one share of the issuer's common stock. Subject to certain restrictions and continued service, the RSUs will vest as follows: (i) 61,728 shares on April 1, 2025, (ii) 61,728 shares on April 1, 2026, and (iii) 61,729 shares on April 1, 2027.
