Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $13.88 to $13.90, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range.

2. On June 2, 2023, the reporting person mistakenly reported Depository Shares - 8.375% B Cumulative Stock as Common Stock held indirectly by the reporting person's spouse. This report correctly reflects the "Title of Security" for the shares held indirectly by the Reporting Person's spouse and the number of aggregate shares of each class reported in column 5.
