Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Officers.

Nikul Patel, Skillz Inc.’s (the “Company”) Interim General Counsel, departed from the Company on April 28, 2026. Mr. Patel will be entitled to Tier 3 severance benefits under the severance plan, subject to his execution of a customary separation agreement and release of claims.
