(e) Compensatory Arrangements for Named Executive Officer

On July 9, 2026, Soluna Holdings, Inc. (the “Company”) made certain changes to the annual compensation for John Belizaire, the Company’s Chief Executive Officer. Following a review of Mr. Belizaire’s 2026 compensation package by the Compensation Committee (the “Committee”) of the Board of Directors (the “Board”), and consideration of input previously received from its compensation consultant regarding market competitiveness and peer group benchmarking, the Committee approved an increase in Mr. Belizaire’s annual base salary to $600,000, retroactive to January 1, 2026, and established a target annual bonus opportunity of 100% of his annual base salary. Any bonus earned will be based on the Committee’s determination of achievement against performance goals established by the Committee for the applicable performance period.
