Item 5.02.			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 12, 2023, Colette D. Honorable notified The Southern Company (the “Company”) of her offer of resignation from its Board of Directors (the “Board”). The offer of resignation was required by the Company’s corporate governance guidelines due to a change in Ms. Honorable’s principal business association and was subject to the Board’s acceptance. On July 17, 2023, the Board accepted Ms. Honorable’s resignation, effective August 1, 2023.
