Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously announced by Sprout Social, Inc. (the “Company”), Ryan Barretto was appointed as Chief Executive Officer of the Company, effective October 1, 2024 (the “Effective Date”). On September 30, 2024, the Board of Directors (the “Board”) of the Company elected Ryan Barretto to the Board as a Class III director for a term commencing on the Effective Date and expiring at the 2025 annual meeting of stockholders of the Company. The election of Mr. Barretto expands the size of the Board to eight directors.
