Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 28, 2026, StandardAero, Inc. (the “Company”) announced that Kimberly Ernzen will no longer serve as Chief Operating Officer of the Company, effective as of September 28, 2026 (the “Transition Date”). Ms. Ernzen will remain employed by the Company and support the Company’s leadership transition efforts from the Transition Date through December 31, 2026. The Company expects to enter into a transition agreement with Ms. Ernzen, the terms of which have not yet been determined.
