Explanation of Responses:

1. Represents shares withheld by the Issuer for tax purposes upon vesting of Restricted Stock.

2. Consists of of 81,398 shares of Class B common stock held directly; 262,527 fully vested restricted shares of Class B common stock and 150,000 unvested restricted shares of the Company's Class B common stock. Of the 150,000 unvested restricted shares, 30,000 shares shall vest on each of February 10, 2024, August 3, 2024, February 10, 2025, August 3, 2025, and February 10, 2026.
