Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

The Board of Directors (the “Board”) of STERIS plc (the “Company”) increased its size from nine to ten members on May 3, 2023, and elected Dr. Esther Alegria to serve as a director effective as of that date.

Dr. Alegria, age 64, has been the Founder and Chief Executive Officer of APIE Therapeutics, a preclinical stage pharmaceutical company, since 2020. From 2016 to 2020, Dr. Alegria served as the President and Senior Executive Advisor at Catalyst Excel & Advance, an advisory firm providing operational guidance to senior executives working to launch new pharmaceutical and biopharmaceutical companies. From 2005 to 2015, Dr. Alegria held positions of increasing responsibility at Biogen, Inc., most recently as Senior Vice President, Global Manufacturing. Since 2021, Dr. Alegria has served as a Director and member of the Audit Committee and Corporate Governance Committees of AVID Bioservices, Inc. (NASDAQ: CDMO).

Dr. Alegria will receive a prorated fee of $74,220 for the remainder of the Board’s 2022-23 term of office, which will be payable in career restricted stock units granted in conjunction with the Company’s Non-Employee Director Compensation Program. Dr. Alegria will be eligible for the same indemnification program as the other members of the Board.
