Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 6, 2023, the Board of Directors of the Company (the “Board”) received the resignation of William Chen as a director of the Company, effective March 8, 2023. Mr. Chen has served on the Board since May 2018. The resignation was not due to any disagreement with the Company, its Board or its management on any matter relating to the Company’s operations, policies or practices.
