Item 8.01 Other Events.

As of the date of filing of this report, due to recent sales of Sunshine Biopharma Inc.’s (the “Company”) common stock under the Company’s previously disclosed at-the-market offering, the exercise price of the Company’s outstanding Series B Warrants has been reduced to $1.2202, subject to further adjustment as set forth under the Series B Warrants.
