Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 26, 2021, Charles Cargile notified the Board of Directors (the “Board”) of Sunworks, Inc. (the “Company”) of his decision not to stand for re-election at the Company’s 2021 Annual Meeting of Stockholders. Mr. Cargile has served on the Board since September 2016. Mr. Cargile made this decision to pursue other opportunities, and his decision not to stand for re-election did not involve a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
