Explanation of Responses:

1. Represents an award of restricted stock, pursuant to Rule 16b-3, which vested immediately upon the issue date. The number of shares was determined by dividing $150,000 by the closing price of the Company's Class D shares on November 17, 2025. The closing price of Class D shares on that date was $0.6115.

2. The total represents all shares held by the reporting person across all classes of Urban One, Inc. stock, Classes A, B, C, and D.
