Represents shares that have been withheld by the Issuer to satisfy tax withholding and remittance obligations in connection with the settlement of performance stock units ("PSUs") for which service-based vesting requirements have been satisfied and the time-based vesting of restricted stock units ("RSUs"). The acquisition of such PSUs and RSUs has previously been reported on Forms 4 filed by the reporting person.
