Explanation of Responses:

1. Represents shares of the Issuer's Common Stock forfeited by the Reporting Person to the Issuer for payment of tax liability by withholding shares of the Issuers' Common Stock incident to the vesting of shares of the Issuer's Common Stock issued in accordance with Rule 16b-3.

2. This amount includes 34.568 shares acquired in June 2024 by the Reporting Person pursuant to the Issuer's Dividend Reinvestment and Stock Purchase Plan.

3. The shares were disposed of pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), dated as of September 27, 2023, by and between Peoples Financial Services Corp. ("Peoples") and FNCB Bancorp, Inc. ("FNCB"). Pursuant to the Merger Agreement, at the Effective Time (as defined in the Merger Agreement), each share of common stock, $1.25 par value, of FNCB was converted into the right to receive 0.1460 shares of common stock, $2.00 par value, of Peoples and cash in lieu of fractional shares.
