Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers Holders.

b)Mr. Will Graylin, a director of Synchrony Financial (the “Company”), notified the Company’s Board of Directors of his decision to resign as a director. His resignation was effective as of September 2, 2022. Mr. Graylin resigned for personal reasons and not due to any disagreements with the Company.

A copy of the Company’s press release dated September 2, 2022 announcing the resignation is attached hereto as Exhibit 99.1 and incorporated herein by reference.
