Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 2, 2024, the Board of Directors of T Stamp, Inc. (the “Company”) elected Andrew Scott Francis, the current Chief Technology Officer of the Company, to the Board of Directors, effective immediately, to fill a vacancy on the Board of Directors. Andrew Scott Francis will be a member of the “Class III” directors of the Company.

Andrew Scott Francis is party to an Executive Employment Agreement with the Company, a copy of which is filed as Exhibit 10.18 to the Company’s Annual Report on Form 10-K for the year ended December 31, 2023 filed with the SEC on April 1, 2024.
