Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 6, 2022, Charles Berg, a member of the Board of Directors (the “Board”) of Talkspace, Inc. (the “Company”), notified the Board of his decision to resign as director of the Company effectively as of the 2022 Annual Meeting of Stockholders of the Company. Mr. Berg has been a member of the Board since June 2021. Mr. Berg’s resignation was not a result of any disagreement with the Company or any matter relating to its operations, policies or practices.
