Explanation of Responses:

1. Reflects restricted stock units granted pursuant to the terms of the Company's Omnibus Incentive Plan that will vest ratably over a three year period beginning on the anniversary of the grant date, which was March 7, 2024.

2. Represents shares earned upon the satisfaction of the performance criteria under the Company's 2021-2023 Long-Term Incentive Plan.

3. Represents a one-time grant of restricted stock units awarded pursuant to the terms of the Company's Omnibus Incentive Plan that will cliff vest on March 7, 2026, which is the second anniversary of the grant date.

4. Shares withheld to cover tax liability associated with the vesting of restricted stock units.

5. Shares withheld to cover tax liability associated with the vesting of the performance share units referenced in Footnote 2.
