Item 8.01 Other Events.

On July 26, 2024, the Board of Directors of Tectonic Financial, Inc. (the “Company”) declared a quarterly cash dividend of $0.3144353 per share on the Company’s outstanding shares of 9.00% Fixed-to-Floating Rate Series B Noncumulative Perpetual Preferred Stock. The dividend is for the period from, and including, May 15, 2024 to, but excluding, August 15, 2024, and is payable on August 15, 2024 to shareholders of record as of the close of business on August 5, 2024.

On July 26, 2024, the Board of Directors of the Company declared a cash dividend of $0.10 per share on the Company’s outstanding shares of common stock. The dividend is payable on August 15, 2024 to shareholders of record as of the close of business on August 5, 2024.
