Item 8.01 Other Events.

On July 25, 2025, the Board of Directors of Tectonic Financial, Inc. (the “Company”) declared a quarterly cash dividend of $0.2858396 per share on the Company’s outstanding shares of 9.00% Fixed-to-Floating Rate Series B Noncumulative Perpetual Preferred Stock. The dividend is for the period from, and including, May 16, 2025 to, but excluding, August 15, 2025, and is payable on August 15, 2025 to shareholders of record as of the close of business on August 5, 2025.

On July 25, 2025, the Board of Directors of the Company declared a cash dividend of $0.10 per share on the Company’s outstanding shares of common stock. The dividend is payable on August 15, 2025 to shareholders of record as of the close of business on August 5, 2025.
