Net income for the three months ended June 30, 2026, was $3,195, or $0.56 per share-basic and diluted, a linked-quarter increase of $1,309, or 69.4%, from net income of $1,886, or $0.33 per share-basic and diluted, for the three months ended March 31, 2026. Net income increased $1,312, or 69.7%, from net income of $1,883, or $0.33 per share-basic and diluted for the same quarter in 2025. Excluding the one-time, non-core transactions, core net income increased $533, or 33.6%, to $2,119 from $1,586 at to March 31, 2026, and increased $236, or 12.5%, from $1,833 compared to June 30, 2025. Net income for the six months ended June 30, 2026, was $5,081, or $0.89 per share-basic and diluted, an increase of $1,349, or 37.3%, from net income of $3,700, or $0.66 per share-basic and diluted, for the same period in 2025. See supplemental information for additional disclosures.

Second Quarter Highlights

Net interest margin ("NIM") increased 3 basis points ("bps") to 3.37% for the three months ended June 30, 2026, from 3.34% for the three months ended March 31, 2026, and increased 37 bps from 3.10% for the three months ended June 30, 2025.
The Company sold one branch in a sale leaseback transaction generating a pre-tax gain of $1,508. Additionally, the Company injected $1,000 of additional capital into the Bank to enhance its strategic capital levels. These transactions contributed to the 14 bps increase in the Bank’s leverage ratio to 9.11% from 8.97% in the previous quarter.
Credit quality continues to remain solid with total non-performing assets ("NPA") to loans at 64 bps at June 30, 2026, compared to 73 bps at March 31, 2026. Total non-performing assets decreased $394, or 6.4%, to $5,743 at June 30, 2026, compared to $6,137 at March 31, 2026, and decreased $1,572, or 21.5%, compared to $7,315 at June 30, 2025.
Allowance for credit losses ("ACL") to loans was 1.06% at June 30, 2026 compared to 1.05% in the prior quarter and 1.00% the same period a year ago.
Tangible book value ("TBV") per common share, as of June 30, 2026, was $9.95, an increase of $1.06 compared to $8.89 as of March 31, 2026, and an increase of $3.28 compared to $6.67 as of June 30, 2025. Two factors drove the year-over-year increase in TBV per common share: earnings growth contributed $1.67, and the burn off of the Other Comprehensive Loss added $1.61.

Chief Executive Officer ("CEO") Commentary

Stacy Brantley, President and Chief Executive Officer of Citizens Holding Company (the "Company") and The Citizens Bank of Philadelphia (the "Bank") stated, "Our team continues to make steady and significant progress toward our established key strategic initiatives. Financial Condition and Results of Operations

Loans and Deposits

Total loans outstanding, net of unearned income, at June 30, 2026, totaled $892,788, an increase of $48,297, or 5.72%, compared to $844,491 at March 31, 2026, and an increase of $74,796 or 9.2% at June 30, 2025.

Total deposits as of June 30, 2026, were $1,317,704, a decrease of $26,840, or 2.0%, compared to $1,344,544 at March 31, 2026, and an increase of $52,131, or 4.1%, compared to $1,265,573 at June 30, 2025. The Company continues to focus on core deposit growth to not only fund future loan growth but to also minimize cost of funds.

Non-interest bearing deposits increased $11,029 or 3.8%, to $301,822 compared to $290,793, at March 31, 2026 and increased $9,483 or 3.2%, from $292,339 compared to the same quarter in 2025.

Net Interest Income

Net interest income for the three months ended June 30, 2026, was $11,637, an increase of $345, or 3.1%, compared to $11,292 for the three months ended March 31, 2026, and an increase of $940, or 8.8%, compared to $10,697 for the three months ended June 30 2025. Net interest margin was 3.37% for the three months ended June 30, 2026, compared to 3.34% for the three months ended March 31, 2026, and 3.10% for the same period in 2025.

The linked‑quarter increase in net interest income was primarily driven by the increase in interest income of $390, or 2.2%, which was partially offset by the increase in interest expense of $45, or 0.7%, compared to the three months ended March 31, 2026.

Net interest income for the six months ended June 30, 2026 increased $2,119, or 10.2%, to $22,929 from $20,810 for the same period in 2025. The year-to-date NIM was 3.36% as of June 30, 2026 compared to 3.03% for the same period in 2025.

Net interest income for the six months ended June 30, 2026 increased compared to the prior year due to interest income increasing $207, or 0.6% and interest expense decreasing $1,912, or 13.3%. During the calendar year, the Bank has significantly reduced its wholesale funding reliance on repurchase agreements, as shown by the decrease of interest expense on other borrowed funds totaling $1,631 for the six months ended June 30, 2026, as compared to $5,386 for the six months ended June 30, 2025.

Credit Quality

The Company’s non‑performing assets to loans ratio was 64 bps at June 30, 2026, compared to 73 bps at March 31, 2026. Total non‑performing assets decreased $394, or 6.4%, to $5,743 at June 30, 2026, compared to $6,137 at March 31, 2026, and decreased $1,572, or 21.5%, compared to $7,315 at June 30, 2025.

Net charge‑offs during the quarter were attributable to a single credit relationship and were not indicative of broad‑based deterioration across the loan portfolio. Net charge-offs totaled $159 and $1,233 for the three and six months, respectively, ended June 30, 2026. Year‑to‑date losses to average loans were 0.15% at June 30, 2026, compared to 0.01% at June 30, 2025.

The provision for credit losses ("PCL") for the three months ended June 30, 2026, was $651, representing a decrease of $652, or 50.0%, from the prior quarter and an increase of $161, or 32.9%, from the same period a year ago. PCL increased $426, or 27.9%, to $1,954 for the six months ended June 30, 2026 as compared to the same period in 2025. The allowance for credit losses ("ACL") to loans held for investment ("LHFI") increased 1 bp to 1.06% at June 30, 2026, from 1.05% at March 31, 2026, and increased 6 bps from 1.00% at June 30, 2025.

The increase in the ACL during the year was primarily driven by loan growth coupled with a higher specific reserve associated with a single loan relationship within the commercial and industrial loan segment. This increase was isolated in nature and did not reflect broad‑based deterioration in the loan portfolio, as overall credit metrics improved during the period.

Liquidity and Capital

The Company manages a variety of liquidity metrics with the most pertinent metric being on-balance sheet 202("OBS") liquidity. The Company maintained a strong liquidity position with OBS liquidity of 13.7% at June 30, 2026.

In addition to OBS liquidity, the Company has access to a range of off‑balance sheet funding sources to address potential liquidity needs. Total available capacity from wholesale funding sources was approximately $943,000 at June 30, 2026, consisting of the following:

$281,000 from the Federal Home Loan Bank of Dallas ("FHLB")
Approximately $260,000 in brokered deposit availability
$352,000 of off-balance sheet deposits held in the IntraFi Network’s ICS deposit program
$50,000 in availability with our correspondent Fed Funds lines

In addition, the Company has the ability to pledge additional collateral to the FHLB to further increase borrowing capacity, if needed. The Company and the Bank continue to maintain a strong capital position and remain well‑capitalized. A comparison of key regulatory capital ratios for the Company and the Bank is provided below.

Noninterest Income

Noninterest income increased $1,344, or 43.9%, for the three months ended June 30, 2026, compared to the three months ended March 31, 2026, and increased $1,836, or 71.4%, compared to the same period in 2025.

The linked-quarter increase was primarily driven by a $1,508 gain related to the sale-leaseback transaction completed during the quarter. In addition, the Company recognized a $207 gain from proceeds related to a bank-owned life insurance policy during the second quarter of 2026 and an offsetting $38 loss on sale of securities. The securities were sold to further enhance regulatory capital ratios.

Noninterest Expense

Noninterest expense increased $715, or 6.6%, for the three months ended June 30, 2026, compared to the three months ended March 31, 2026, and increased $1,126, or 10.8%, compared to the same period in 2025. The linked-quarter increase was primarily attributable to a one-time fraud-related loss of $350 recognized during the quarter. Recovery efforts related to the loss remain ongoing.

For the six months ended June 30, 2026, noninterest expense increased $2,187, or 10.8%, to $22,423, compared to $20,236 for the same period in 2025. The year-over-year increase was primarily driven by higher salaries and employee benefits expense, which increased $884, or 8.4%, as well as the fraud-related loss recognized during the second quarter of 2026. To reduce the impact of the securities portfolio, management remains focused on investing in talent in strategic markets/business lines and the necessary risk management areas to grow the Company.

Effective Tax Rate

The effective tax rate for the three months ended June 30, 2026, was 16.5%, compared to 14.2% for the three months ended March 31, 2026, and 19.4% for the same period in 2025. The effective tax rate for the six months ended June 30, 2026, was 15.7%, compared to 18.3% for the six months ended June 30, 2025.

The effective tax rate increased compared to the first quarter of 2026, primarily due to the tax effects of the sale-leaseback transaction completed during the quarter. Despite the quarter-over-quarter increase, the Company’s effective tax rate continues to trend lower on a year-over-year basis, primarily due to the Bank's investment in Mississippi New Market Tax Credits initiated during the third quarter of 2025, as well as the receipt of tax-exempt life insurance proceeds.

Dividends

The Company did not pay cash dividends during the six-month period ended June 30, 2026, compared to $226, or $0.04 per share, for the same period in 2025.
