Item 8.01. Other Events.

On May 16, 2022, it has come to the attention of The Trade Desk, Inc. (the “Company”) that the shares of the Company’s Class B common stock represent less than 50% of the Company’s outstanding voting power as of such date. As a result, action by written consent by stockholders is now permitted under the Company’s current certificate of incorporation and bylaws.
