Item 7.01 Regulation FD Disclosure

On June 20, 2023, a subsidiary of The Timken Company (“Timken” or the “Company”) completed the sale of 7.6 million shares of Timken India Limited (“TIL”), a listed company. The transaction reduced the Company’s ownership in TIL from 67.8 percent to 57.7 percent, generating gross sales proceeds of approximately $288 million.

Timken plans to use the net proceeds (after taxes and other direct costs) from the transaction to support its 2023 capital allocation priorities, including share repurchases. The net impact from the transaction and related use of proceeds is expected to be accretive to the Company’s earnings per share.

The Indian market remains strategically important to Timken, and the Company intends to maintain a controlling interest in TIL. Recently, TIL broke ground on a $75 million plant in Bharuch, India, which will manufacture spherical and cylindrical roller bearings for industrial applications. Production is scheduled to begin by early 2025 and will serve demand in India and globally.
