On August 12, 2026, Toppoint Holdings Inc. (the “Company”) issued a press release (the “Press Release”) announcing its financial results for its second fiscal quarter ended June 30, 2026. A copy of the Press Release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

The Press Release contains certain business updates and forward-looking statements regarding the Company’s expectations, plans and prospects. On August 12, 2026, the Company issued a press release in response to unusual trading activity in the Company’s common stock.
