Item 8.01.

Other Events.

TPG Inc. (the “Company”) will hold its 2023 annual meeting of stockholders (the “2023 Annual Meeting”) on June 8, 2023. Further details about the 2023 Annual Meeting, including the time and location, will be set forth in the Company’s proxy statement.

Pursuant to Rule 14a-8 under the Securities Exchange Act of 1934, as amended, stockholders may present proposals for inclusion in the Company’s proxy statement for the 2023 Annual Meeting by submitting their proposals to the Company a reasonable time before the Company begins to print and send its proxy materials. The Company has set December 19, 2022 as the deadline for receipt of stockholder proposals for inclusion in the Company’s proxy statement pursuant to Rule 14a-8.

For any director nominations and stockholder proposals to be properly brought before the 2023 Annual Meeting, stockholders must deliver to the Corporate Secretary their nominations and proposals pursuant to Section 1.12 of the Company’s bylaws. To be timely, notice by a stockholder of any such nomination or proposal must have been provided not earlier than the open of business on February 8, 2023 and not later than the close of business on March 10, 2023 and must otherwise comply with the applicable requirements in the Company’s bylaws.
