Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 16, 2023, the Compensation Committee (the “Committee”) of the Board of Directors of Transcat, Inc. (the “Company”), unanimously approved an increase in base salary rate for Lee D. Rudow, President and Chief Executive Officer of the Company, and Thomas Barbato, our Chief Financial Officer and Treasurer, effective the date the Company announces its fiscal results for its fiscal year ended March 25, 2023, from $530,000 to $617,210 per annum, and from $275,000 to $327,330 per annum, respectively. Also on May 16, 2023, the Committee approved an increase in the target bonus percentages (each expressed as a percentage of base salary) for Mr. Rudow and Mr. Barbato, from 60% to 75% and from 40% to 45%, respectively, to be applied beginning with the bonuses for fiscal year 2024 performance.
